General Terms and Conditions (GTC)

§ 1 General Provisions

These General Terms and Conditions (GTC) apply to all services provided by the company Zemchenko, represented by Artyom Zemchenko (hereinafter referred to as the “Contractor”), to the customer.

§ 1 Scope of Services

(1) The exact scope of services results from the inquiry completed by the customer and the individually agreed offer.

(2) Changes and additions to the scope of services must be made in writing and approved by both parties.

§ 2 Conclusion of Contract

(1) The contract is concluded as soon as the customer confirms an offer from the contractor in writing or electronically.

§ 2 Obligations of the Customer

(1) The customer undertakes to provide all necessary documents, information, and content required for the performance of the agreed services in a timely manner.

(2) The customer guarantees that the content provided does not infringe the rights of third parties.

§ 3 Compensation and Payment

(1) Compensation is based on the individual offer. Prices are quoted net plus statutory VAT unless otherwise stated.

(2) Invoices are payable within 14 days of invoicing without any deduction.

§ 3 Usage Rights

(1) The contractor grants the customer the usage rights to the created content and project results as contractually agreed.

(2) Any use beyond this requires a separate agreement.

§ 4 Liability

(1) The contractor is only liable for damages caused by intentional or grossly negligent behavior. Liability for minor negligence is excluded.

(2) The customer is solely responsible for the content provided by them.

§ 5 Compensation and Payment Terms

(1) Invoices are payable within 14 days of the invoice date without deductions.

(2) In the event of default, the statutory default interest shall apply.

§ 6 Termination

(1) Termination of the contractual relationship must be made in writing.

(2) Work already performed must be remunerated proportionally.

§ 7 Data Protection and Confidentiality

(1) Both contractual parties undertake not to disclose confidential information to third parties and to store it securely.

(2) The provisions of the Privacy Policy apply.

§ 7 Liability

(1) The contractor is not liable for damages resulting from incorrect or incomplete information provided by the customer.

(2) Liability for minor negligence is excluded, except in cases of breach of essential contractual obligations.

§ 8 Final Provisions

(1) The place of jurisdiction is the contractor’s registered office, as far as legally permissible.

(2) Amendments or additions to these conditions must be made in writing.

(3) Should individual provisions be invalid, the remaining provisions shall remain unaffected.
